Welcome to Crouch Consolidated LLC d/b/a AgTutors (the "Platform"). Please read these Terms & Conditions ("Terms") carefully. By accessing or using our Platform (the "Services"), you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1. Acceptance of Terms
1.1 These Terms constitute a binding legal agreement between you ("User," "you," or "your"), whether you are a tutor ("Tutor") or a student ("Student"), and Crouch Consolidated LLC d/b/a AgTutors ("AgTutors," "we," "us," or "our").
1.2 By accessing or using the Platform, you affirm that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.
2. Description of Services
2.1 Platform Only. AgTutors provides an online marketplace connecting Students with Tutors. Tutors are independent contractors using the Platform to offer tutoring services; AgTutors does not directly provide tutoring.
2.2 Fee Structure. Tutors retain ninety percent (90%) of the session price that they set, and AgTutors retains ten percent (10%) as a service fee.
2.3 No Guarantees. AgTutors makes no representations or warranties regarding the outcome or results of any tutoring session.
3. Tutor Status
3.1 Independent Contractors. All Tutors are independent contractors, not employees, agents, or representatives of AgTutors. We do not supervise, direct, or control the manner in which Tutors perform their services.
3.2 Credentials & Transcripts. By signing up as a Tutor, you agree that AgTutors reserves the right to request your official or unofficial transcript, or other credentials, to verify that you received an "A" or other acceptable grade in the subject(s) you wish to tutor.
4. Payments
4.1 Payment Processing. All payments for tutoring sessions are processed securely through our third-party payment processor, Stripe. You agree to comply with Stripe's terms and conditions.
4.2 Payment Timing. Students must pay for each session at the time of booking. Funds will be disbursed to Tutors in accordance with our payout schedule, minus the 10% platform fee.
4.3 No Circumvention. Users shall not attempt to circumvent the payment process or enter into off-platform agreements for services that otherwise would be booked through the Platform.
5. Scheduling, Cancellations, and Refund Policy
5.1 Scheduling. Session scheduling is determined by the Tutor's availability as indicated on the Platform.
5.2 Tutor Cancellations. Tutors may cancel a session up to twenty-four (24) hours before the scheduled start time without penalty. If a Tutor cancels within 24 hours of the scheduled start time or fails to appear for a scheduled session, the Student will receive a full refund.
5.3 Student Cancellations. Students are not permitted to cancel a booked session. All sales are final unless the Tutor fails to appear for the session.
5.4 Tutor No-Show. If a Tutor does not show up for a scheduled session, the Student must log in to their dashboard during the session time and select the option indicating the Tutor did not attend. Once confirmed, AgTutors will issue a full refund to the Student.
5.5 Late Arrivals. If a Student or Tutor is late, the session may continue but will still end at the originally scheduled time. No partial refunds or credits will be provided for late arrivals.
6. User Conduct
6.1 Professional and Respectful Behavior. You agree to conduct yourself in a professional and respectful manner at all times.
6.2 Prohibited Conduct. You shall not:
- Engage in harassment or discriminatory behavior;
- Share inappropriate, offensive, or obscene content;
- Attempt to circumvent our payment system;
- Create multiple accounts for fraudulent or deceptive purposes;
- Include personal contact information (including but not limited to phone numbers, email addresses, or social media handles) in profile biographies or any other public areas of the Platform.
6.3 Contact Information. Tutors are strictly prohibited from including personal contact information in their profiles, biographies, or any other public areas of the Platform. This includes, but is not limited to, phone numbers, email addresses, and social media handles. Violation of this policy is considered an attempt to circumvent the Platform's payment system and will result in immediate account suspension or termination.
6.4 Aggie Honor Code. Both Students and Tutors affirm their commitment to the Aggie Honor Code in all their dealings on this Platform, pledging honesty and integrity in the pursuit of knowledge and academic integrity.
7. No Affiliation with Texas A&M University
7.1 Disclaimer. Crouch Consolidated LLC d/b/a AgTutors is not affiliated, associated, authorized, endorsed by, or in any way officially connected with Texas A&M University or any of its subsidiaries or affiliates.
8. Privacy and Data Protection
8.1 Privacy Policy. We take your privacy seriously. Please review our [Privacy Policy] for details on how we collect, use, and protect your personal information. By using the Platform, you agree to the terms of our Privacy Policy.
9. Limitation of Liability
9.1 No Liability for Tutor/Student Conduct. AgTutors is not responsible or liable for the actions, errors, omissions, representations, warranties, breaches, or negligence of any User.
9.2 No Liability for Session Outcomes. AgTutors does not guarantee any specific results from tutoring sessions, nor do we endorse any Tutor's qualifications beyond self-reported or otherwise verified credentials.
9.3 Technical Issues. While we make reasonable efforts to maintain the functionality of the Platform, we are not liable for technical problems or interruptions outside of our control.
9.4 Indirect or Consequential Damages. In no event shall AgTutors be liable for indirect, incidental, special, exemplary, or consequential damages arising out of or in connection with these Terms, even if we have been advised of the possibility of such damages.
10. Indemnification
10.1 Hold Harmless. You agree to indemnify, defend, and hold harmless AgTutors, its owners, officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising out of or in any way connected with:
- Your access to or use of the Platform;
- Your violation of these Terms;
- Your interaction with any other User of the Platform.
11. Modifications to Terms
11.1 Right to Modify. We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to our website.
11.2 Continued Use. Your continued use of the Platform following the posting of revised Terms will indicate your acceptance of such changes.
12. Governing Law and Dispute Resolution
12.1 These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
12.2 Any legal suit, action, or proceeding arising out of or related to these Terms or the Platform shall be instituted in the state or federal courts located in Texas, and you hereby consent to the exclusive jurisdiction of such courts.
